Upon completion of the ordering process on this web-site, a subsequent offer from The Dow Chemical Company to sell you heat transfer fluids will be contingent upon the following:

  1. Our assessment of your financial integrity and ability to properly use synthetic organic/silicone fluid in a safe manner; and
  2. Your acceptance of the attached general terms and conditions:
I. TERMS AND CONDITIONS - The following terms and conditions shall apply to any sale of synthetic organic/silicone fluids ("HTTF") to any potential user ("Customer") that orders HTTF via The Dow Chemical Company's ("TDCC") Synthetic Organic/Silicone Fluid website and thereby accepts the terms and conditions of this contract ("Agreement"), except to the extent superseded by an applicable written contract executed by TDCC and Customer.
  1. TDCC'S Commitments to Customer
    1. The HTTF when shipped will meet TDCC's sales specifications set forth in this website.
    2. The HTTF when shipped will be fit for the ordinary uses identified in TDCC's current HTTF literature.
    3. TDCC will convey good title to the HTTF, free from any lawful security interest, lien or encumbrance.
  2. Customer's Commitments to TDCC
    1. Customer acknowledges that good manufacturing practices are of critical importance when handling HTTF. Because the HTTF are typically used at high temperatures above their flash-points, fires, loss of containment, and resulting injuries can result if HTTF are not handled properly. To help ensure proper handling, Customer will only use HTTF in properly designed, closed loop, heat transfer fluid systems. If Customer has any questions regarding the suitability of HTTF for Customer's application the Customer will contact TDCC.
    2. Customer will:
      1. Familiarize itself with HTTF information made available by TDCC at any time, including the Safety Data Sheet for each HTTF;
      2. Follow safe handing, use, selling, storage, transportation and disposal practices and ensure that all employees, contractors, agents and customers follow these practices, including such special practices as Customer's use of the HTTF requires;
      3. Take appropriate action to avoid spills or other dangers to persons, property or the environment;
      4. Indemnify TDCC against any claim, loss, liability and expense (including reasonable attorney fees) on account of any and all property damage, personal injury or death of persons (including Customer's employees), damage to the environment and/or natural resources and/or threatened release of a hazardous material or waste into the environment arising out of or in connection with:
        1. The negligence of Customer or its employees, contractors, designees or agents; or
        2. After passage of title and risk of loss of the HTTF has passed from TDCC to Customer, the handling, storage, manufacture, testing, transportation, promotion, distribution, sale, use, misuse, treatment or disposal of the HTTF (including other goods which incorporate HTTF as a component) by any entity or natural person; or
        3. Customer's failure to comply with any of the obligations set forth in Section 1.B hereof.
      5. In any action against TDCC for personal injury or death of Customer's employees, expressly waive, as to TDCC, the exclusive defense under any Workers Compensation Act if Customer failed to comply with any of the obligations set forth in Section I.B hereof; and
      6. Comply with all federal, state, and local laws, rules and regulations concerning the transportation, storage, handling, use, sale and disposal of HTTF.
    3. Customer warrants that it has used its own independent skill and expertise in connection with the selection and use of the HTTF and that it possesses skill and expertise in the handling, storage, transportation, treatment, use and disposal of the HTTF.
    4. If Customer requests the use of any design, trademark, tradename or copyright, or if TDCC makes special HTTF for Customer, Customer agrees to indemnify TDCC against any claim, loss, liability and expense (including reasonable attorney fees) on account of the infringement or alleged infringement of any design, trademark, tradename, copyright or patent.
    5. Customer will pay for the HTTF on the terms described in the Order Confirmation. Prices quoted to Customer do not include freight or other expenses relating to the shipment of HTTF; Customer is responsible for paying freight and shipment costs. Prices are subject to change at any time within the sole discretion of TDCC and may change at any time prior to sending the Order Confirmation.
    6. TDCC, or its assignee, may charge the maximum interest allowed by law on any overdue HTTF payment amounts. Customer agrees to pay all of TDCC's collection costs (including reasonable attorney fees and expenses). Taxes may not be included in the prices quoted. Customer will pay all taxes and duties, except income taxes, that are increased or levied, now or in the future, in connection with the manufacture, sale, transportation or disposal of the HTTF. If the transaction is subject to any such tax or duty, such taxes, duties or any costs in connection therewith, whether imposed before or after payment of the invoice, will be paid by Customer.
  3. Title and Risk of Loss - Title and risk of loss for all HTTF sold under this Agreement shall pass to Customer upon delivery to the carrier at TDCC's manufacturing facility.
  4. Transportation
    1. If TDCC provides the transportation equipment or pays any of the freight charges, TDCC will have the right to designate carriers and routings.
    2. Customer will unload and return all transportation equipment to carrier within the tariff or contract period free of charges. Customer will unload and tender TDCC's railroad cars to the railroad in accordance with TDCC's routing instructions. TDCC may collect its standard charge for its equipment if held beyond TDCC's allowable time.
    3. If TDCC's transportation equipment arrives at its destination in a damaged condition, Customer will immediately notify the carrier's agent and TDCC. Customer is responsible for TDCC's transportation equipment that is in its possession, and Customer will be liable to TDCC for any damage or destruction thereto.
  5. Payment Terms - Net Thirty (30) days following date of order confirmation.
  6. EXCLUSION OF ALL OTHER WARRANTIES AND LIMITATION OF LIABILITY
    1. THE COMMITMENTS IN SECTION I.A ARE TDCC'S SOLE WARRANTIES RESPECTING THE HTTF AND ARE MADE EXPRESSLY IN LIEU OF AND EXCLUDE ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ALL OTHER EXPRESS OR IMPLIED REPRESENTATIONS AND WARRANTIES PROVIDED BY STATUTE OR COMMON LAW.
    2. IN NO EVENT WILL TDCC BE LIABLE FOR ANY LOSS OF PROFITS, CONSEQUENTIAL, PUNITIVE, SPECIAL, CONTINGENT, EXEMPLARY OR INCIDENTAL DAMAGES THAT MAY ARISE OUT OF OR IN CONNECTION WITH ANY HTTF TRANSACTION UNDER THIS AGREEMENT. CUSTOMER'S EXCLUSIVE REMEDY FOR CLAIMS (INCLUDING, WITHOUT LIMITAITON, BREACH OF WARRANTY, NEGLIGENCE AND STRICT LIABILITY) IS EXPRESSLY LIMITED TO CUSTOMER HAVING THE OPTION OF REPLACEMENT OR REPAYMENT OF THE PURCHASE PRICE PAID FOR THE HTTF WHICH ARE THE SUBJECT OF THE CLAIM.
  7. Notice of Claims - All claims by Customer will be deemed waived unless made in writing to TDCC within 60 days of when Customer learns or reasonably should have learned about the claim.
  8. Severability - If any provision of these terms and conditions are held invalid, such invalidity will not affect the remaining terms and conditions.
  9. Offer and Acceptance - Customer acknowledges that the submission of an order for HTTF via TDCC's Synthetic Organic/Silicone Fluid website constitutes merely a request for a price quotation and is not the acceptance of an offer from TDCC. TDCC reserves the right to not sell HTTF to Customer notwithstanding Customer's electronic order hereof. TDCC will sell HTTF only pursuant to these terms and conditions; hence if TDCC chooses to extend an offer to Customer in response to Customer's order then TDCC will subsequently send an Order Confirmation to Customer indicating TDCC's willingness to offer to sell HTTF to Customer at the quoted price and subject to these terms and conditions.
  10. Signature - Customer acknowledges that by preparing and submitting a request for quotation via TDCC's Synthetic Organic/Silicone Fluid website , and receiving an Order Confirmation from TDCC via the Internet followed by the shipment of HTTF, any legal requirements for creation of a binding contract are satisfied by this Agreement including, without limitation, any signature requirement and further that the electronic documents transmitted by Customer under its name are properly verified and authenticated.
  11. Entire Agreement - Should Customer accept TDCC's offer via an Order Confirmation as provided in, TDCC's Order Confirmation, together with these terms and conditions, shall constitute the complete and exclusive agreement between TDCC and Customer concerning the HTTF sold, unless the parties have executed an applicable written contract. Any additional or different terms, including, but not limited to, any terms found in any purchase order or other correspondence from Customer, however and whenever communicated, are expressly objected to and will not be binding unless expressly agreed to by TDCC in writing.
  12. Choice of Law and Governing Forum - This Agreement will be governed by, construed, enforced and interpreted in accordance with the laws of the State of Michigan, without regard to the choice of law principles thereof. Customer agrees that any legal action or proceeding with respect to this Agreement, or the transactions contemplated hereby, may only be brought in any court of the State of Michigan, or in any court of the United States of America sitting in Michigan, and Customer hereby submits to and accepts generally and unconditionally the jurisdiction of those courts.
  13. Assignment - Nothing hereunder is transferable or assignable by Customer without TDCC's prior written consent.
  14. Confidentiality - Customer shall maintain all price and price-related information in confidence and shall not disclose same to any third parties.
