Dow Corning Transaction

Dear Valued Supplier:

Today, The Dow Chemical Company (“Dow”) successfully completed the restructure of its ownership of Dow Corning. A joint venture partner since Dow Corning’s founding 73 years ago, Dow is now 100 percent owner of Dow Corning’s silicones business.

The addition of Dow Corning brings an entirely new chemistry to Dow’s portfolio and diversifies Dow’s product offerings in several attractive end-use applications such as building and construction, consumer care, transportation, coatings, packaging, electronics and energy.

During the next few months, we will work diligently to have the new organization in place. In the meantime, there will be no immediate change in the way business is transacted. Please continue to work with your existing procurement contacts. They are there to help answer your questions on any transactional issues that arise over the next several weeks, and to keep you informed on our integration progress. As we move forward in the integration process, we plan to launch a series of strategic sourcing initiatives that will help us evaluate current supplier relationships. We are particularly eager to continue to work with companies who have been valued suppliers. If any changes are necessary, we will inform you in advance.

Do I need to update my records now that Dow Corning is owned by Dow?
No. All legal entity names, mailing addresses, tax ID numbers and VAT numbers, remit-to information, invoice, bank account and payment information are unchanged after the transaction. There should be no changes at this time. We will inform you in advance if any changes are necessary in the future.

Will supplier contracts and other agreements be honored by Dow?
Yes, supplier contracts and other agreements will be honored.

Will suppliers have different contacts in purchasing as a result of this transaction?
Our suppliers will maintain their current Dow Corning and Dow contacts as we’re working to make this integration as seamless as possible. As the integration process moves forward, we will inform you in advance if any changes are necessary.

Will there be any disruptions as a result of this transaction?
No, we do not anticipate disruption in service or product delivery related to this transaction. If any changes are necessary, we will inform you in advance.
