As a condition of the acquisition of Rohm and Haas, Dow is divesting its North American UCAR Emulsion Systems business headquartered in Cary, North Carolina, USA along with its acrylic acid and esters business in Clear Lake, Texas, USA.
The divestiture includes all latex products and glacial acrylic acid (GAA), butyl acrylate (BA) and ethyl acrylate (EA) currently supplied by these businesses along with all associated intellectual property. Facilities included in the divestiture are:

Latex manufacturing plants in St. Charles, LA; Alsip, IL and Torrance, CA;

Acrylic monomers production plant in Clear Lake, TX;

UCAR Emulsion Systems headquarters and research and development center in Cary, N.C.
To enable these businesses to continue to meet the needs of their customers, and to protect intellectual property after the acquisition of Rohm and Haas and before the completion of this divestiture, the Federal Trade Commission requires that Dow place these businesses in a “Hold Separate” status. This status ensures that Dow keep these businesses separate from all other Dow businesses, and ensure the full economic viability, marketability, and competitiveness of these businesses.
Dow is committed to providing the needed support to the businesses during the transition period.
